11. Limitation of Liability

11.1 Excluded Losses

Nothing in these Terms excludes or limits our liability for:

12. Termination

12.1 Termination for Convenience

Either party may terminate a service agreement with 30 days' written notice, subject to payment for work completed.

12.2 Termination for Cause

Either party may terminate immediately if the other party:

  • Commits a material breach that remains unremedied for 14 days
  • Becomes insolvent or enters administration
  • Ceases to carry on business

12.3 Effect of Termination

Upon termination:

  • Payment is due for work completed to date
  • We will return or destroy client materials as directed
  • Confidentiality obligations continue
  • Accrued rights and obligations remain in effect

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, pandemic, or government actions.

14. Indemnity

You agree to indemnify and hold harmless Techandmore LTD from any claims arising from:

  • Your breach of these Terms
  • Your violation of applicable laws
  • Your infringement of third-party rights
  • Your misuse of our services

15. Dispute Resolution

15.1 Negotiation

In the event of a dispute, the parties agree to first attempt resolution through good faith negotiation.

These Terms do not create rights for third parties under the Contracts (Rights of Third Parties) Act 1999.
